AMENDED ARTICLES OF INCORPORATION
OF THE

PHILIPPINE PUBLIC HEALTH ASSOCIATION, INC.

 

 

KNOW ALL MEN BY THESE PRESENTS:

 

            That we, all of age, citizens and residents of the Philippines, have this day voluntarily associated ourselves together for the purpose of forming a non-stock, non-profit corporation under the laws of the Republic of the Philippines.

 

AND WE HEREBY CERTIFY:

            FIRST.-That the name of the said corporation shall be

                        THE PHILIPPINE PUBLIC HEALTH ASSOCIATION, INC.

            SECOND.-That the purposes for which said corporation is formed are as follows:

  1. Help upgrade the standard and delivery of public health services;
  2. Promote and protect the rights and interests of its members provided it is not engaged in government union activities;
  3. Contribute towards the solution of public health problems through policy-making and/or coordination with national government agencies, local government units (LGUs) and non-government organizations (NGOs);
  4. Generate through research and studies and disseminate knowledge concerning public health;
  5. Establish and foster national and international relations, cooperation and goodwill among the health workers, and;
  6. Receive donations and engage in fund raising projects to support its activities, subject to the limitations provided by law.

            THIRD.- That the place where the principal office of the corporation is to be established or located is at the Department of Health compound, Sta. Cruz, Manila,   , Philippines. (As amended on December 2, 2005___________________)

            FOURTH.-That the term of which said corporation is to exist shall be fifty (50) years from and after the date of incorporation.

            FIFTH.- That the names, nationalities, and residence of the incorporators of said corporation are as follows:

            EIGHT.- That the amount of money to be devoted to the maintenance of corporation is such sums as may from time to time be derived from membership fees, royalties, fund-raising projects, contributions, donations, and/or endorsement from the government, foreign or domestic entities or the public, and such property or   money as may from to time be received or acquired by deed, grant, devise,        bequest, gift, and the like, subject to the provisions of Act 4075 entitled “ An Act Regulating the Practice of Soliciting and Receiving Contributions for Charitable and Public Welfare Purposes “.  (As amended on  December 2, 2005)

            NINTH.- That no part of the income which the association may obtain as an incident  to its operation shall be distributed as dividend to its members or officers subject to the provisions of the Corporation Code on dissolution.  Any profit obtained by the association as a result of its operation, whenever necessary or proper shall be used in furtherance of the purposes enumerated in Article II, subject to the provision of Title XI of the Corporation Code of the Philippines.             TENTH. – That the association shall comply with the requirements for non-stock corporation in the course of its operation. ( As amended on December 2, 2005_)
